Terms of Service

Please read these terms carefully before using Destinely.
1. Acceptance of Terms
By accessing or using Destinely ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the service.
Destinely is operated by Wanderbridge Company Limited, a company registered in Jinja, Uganda. These Terms constitute a legally binding agreement between you and Wanderbridge Company Limited.
2. Description of Service
Destinely is a platform that connects hotels with local experience providers, enabling hotel guests to discover and book authentic local experiences. The Platform facilitates bookings between:
- Guests: Hotel guests seeking local experiences
- Hotels: Accommodation providers who earn commissions on bookings
- Experience Providers: Local businesses offering tours, activities, and experiences
3. User Accounts
3.1 Account Creation
To use certain features of the Platform, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.
3.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
3.3 Account Types
The Platform supports three types of accounts: Guest accounts, Hotel Admin accounts, and Experience Provider accounts. Each account type has specific rights and responsibilities as outlined in these Terms.
4. Booking Terms
4.1 Booking Process
When a guest books an experience through the Platform:
- The booking is confirmed upon successful payment processing
- A confirmation email is sent to all parties (guest, provider, hotel)
- The booking details are accessible through respective dashboards
- Both parties are bound by the booking terms and cancellation policy
4.2 Booking Modifications
Guests may request modifications to bookings subject to provider availability and cancellation policies. All modifications must be processed through the Platform.
4.3 Experience Delivery
Providers are responsible for delivering experiences as described on the Platform. Guests must arrive at the specified meeting point at the agreed time. Failure to do so may result in cancellation without refund.
5. Payment Terms
5.1 Payment Processing
All payments are processed securely through our payment partners, including Flutterwave and mobile money services. Payments are collected at the time of booking confirmation.
5.2 Commission Structure
- Hotels: Receive 5% commission on each booking made by their guests
- Experience Providers: Receive 80% of the booking value
- Platform: Retains 15% for operational costs and service maintenance
5.3 Payment Disbursement
Provider payments are disbursed according to our payment schedule, typically within 7-14 business days after the experience completion date. Hotels receive commission payments on a monthly basis.
5.4 Currency
All prices are displayed in the local currency (Ugandan Shillings - UGX) unless otherwise specified. Exchange rates may apply for international payment methods.
6. Cancellation and Refund Policy
6.1 Guest Cancellations
- 48+ hours before: Full refund minus processing fees
- 24-48 hours before: 50% refund
- Less than 24 hours: No refund unless exceptional circumstances
6.2 Provider Cancellations
If a provider cancels a booking, guests receive a full refund. Providers may be subject to penalties for repeated cancellations.
6.3 Refund Processing
Refunds are processed to the original payment method within 5-10 business days. Processing times may vary depending on your payment provider.
7. User Responsibilities
7.1 Guest Responsibilities
- Provide accurate booking information
- Arrive on time at the specified meeting point
- Follow safety instructions provided by the experience provider
- Respect local customs and regulations
- Treat providers and other participants with respect
7.2 Provider Responsibilities
- Deliver experiences exactly as described on the Platform
- Maintain appropriate licenses, permits, and insurance
- Ensure participant safety and comply with safety regulations
- Respond promptly to guest inquiries and booking requests
- Provide accurate information about experiences, including duration, difficulty, and requirements
7.3 Hotel Responsibilities
- Promote the Platform and available experiences to guests
- Ensure accurate hotel information is displayed
- Maintain the widget integration in good working order
- Comply with commission payment terms
8. Prohibited Activities
Users are prohibited from:
- Using the Platform for any illegal or unauthorized purpose
- Violating any laws, regulations, or third-party rights
- Posting false, misleading, or fraudulent information
- Circumventing the Platform to avoid payment of commissions or fees
- Harassing, abusing, or harming other users
- Attempting to gain unauthorized access to the Platform or user accounts
- Using automated systems to access the Platform without permission
- Copying, modifying, or distributing Platform content without authorization
9. Intellectual Property
9.1 Platform Content
All content on the Platform, including text, graphics, logos, images, and software, is the property of Wanderbridge Company Limited or its licensors and is protected by copyright and trademark laws.
9.2 User Content
By posting content on the Platform, you grant Destinely a worldwide, non-exclusive, royalty-free license to use, reproduce, and display such content for Platform operations and marketing purposes.
10. Limitation of Liability
Important Notice:
Destinely acts as an intermediary platform connecting guests, hotels, and experience providers. We are not responsible for the actual delivery of experiences, the quality of services provided, or any incidents that occur during experiences.
To the maximum extent permitted by law, Destinely and Wanderbridge Company Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or other intangible losses resulting from your use of the Platform.
Our total liability for any claims arising from your use of the Platform shall not exceed the amount you paid to us in the 12 months preceding the claim.
11. Dispute Resolution
11.1 Internal Resolution
We encourage users to resolve disputes directly. Our support team is available to assist with booking-related disputes and can facilitate communication between parties.
11.2 Mediation
If direct resolution is not possible, parties agree to attempt mediation through a neutral third party before pursuing legal action.
11.3 Governing Law
These Terms shall be governed by and construed in accordance with the laws of Uganda. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Uganda, specifically the courts in Jinja where the company is registered.
12. Modifications to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated to users via email or through Platform notifications at least 30 days before they take effect. Continued use of the Platform after changes constitutes acceptance of the modified Terms.
13. Termination
We reserve the right to suspend or terminate your account and access to the Platform at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.
You may terminate your account at any time by contacting us at [email protected]. Upon termination, your right to use the Platform will immediately cease, but provisions of these Terms that by their nature should survive termination will survive.
